1. About DataJewellers and These Terms
DataJewellers is a jewellery business management platform: software that a jewellery business uses to run its stock, sales, purchases, customers, suppliers, workshop and reporting from one place. It is developed and operated by Data Doodles Tech Private Limited (the Company, "we", "us").
These Terms & Conditions (the Terms) are the agreement between the Company and the business that registers for and uses DataJewellers (the Customer, "you"). They govern the DataJewellers platform, its web and desktop applications, and the related support and onboarding services (together, the Services).
By registering an account, accepting these Terms in the application, or using the Services, you agree to them on behalf of your business. If you are accepting on behalf of a business, you confirm that you have the authority to bind it. If you do not agree, do not use the Services.
Where you and the Company have signed a separate order or subscription agreement, that document governs the commercial matters it covers — price, billing period, seats and any agreed limits — and these Terms govern everything else.
2. Definitions
- Customer — the business that holds a DataJewellers account, whether a sole proprietorship, partnership or company.
- Workspace — the Customer's own area of DataJewellers, reached at the Customer's own address, in which its records are kept separately from every other Customer's.
- Authorized User — an individual the Customer has given access to its Workspace, such as an owner, manager, salesperson, accountant or workshop staff member.
- Customer Data — every record, file and setting the Customer or its Authorized Users enter into or generate in the Workspace, including stock, sales, purchases, customer and supplier records, workshop jobs, images and reports.
- Subscription — the Customer's paid entitlement to use the Services for a period, as described in the applicable plan, order, invoice or pricing page.
- Services — as defined in section 1.
3. Eligibility and Account Registration
You may register only if you are at least 18 years old and are acting for a business. The Services are not offered to consumers for personal, household use.
When you register you must give accurate, current information about yourself and your business, and keep it current. We may rely on the contact details you give us for notices about your account.
Each Authorized User must have their own sign-in credentials. Credentials are confidential: do not share them, and tell us promptly at support@datadoodlestech.com if you believe an account has been compromised. You are responsible for everything done in your Workspace by anyone using your Authorized Users' credentials, unless and until you have told us of a compromise and we have had a reasonable opportunity to act.
4. Business Accounts and Authorized Users
The Customer controls its Workspace. Through the application the Customer decides who its Authorized Users are, what role and permissions each one has, which branches they may work in, and when their access ends. DataJewellers enforces the roles and permissions the Customer sets; it does not decide them.
The Customer is responsible for making sure that each Authorized User is entitled to the access they have been given, for removing access when someone leaves, and for the actions of its Authorized Users within the Services.
5. Using DataJewellers
DataJewellers provides tools for a jewellery business to manage its operations, which at the date of these Terms include jewellery inventory and item identification by barcode, sales and invoicing, purchases and purchase returns, supplier and customer records and balances, workshop and karigar jobs, repairs, old-gold intake, stock transfers between branches, stock audits, daily metal-rate handling, reports and exports, and user and business administration.
The Services are provided as they stand and are improved over time. Particular features may be added, changed, or, where a feature is being retired, withdrawn with reasonable notice. Some features are available only on particular plans or when switched on for the Customer's Workspace.
We grant the Customer a limited, non-exclusive, non-transferable right to use the Services for its own business during its Subscription, subject to these Terms.
6. Customer Responsibilities
The Customer is responsible for:
- the accuracy and completeness of the Customer Data it enters, including weights, purities, rates, prices, tax settings and ledger entries;
- using the Services lawfully and in accordance with its own obligations, including tax, accounting, record-keeping and consumer-protection obligations that apply to its business;
- reviewing transactions, invoices and reports before relying on them, and correcting errors using the tools the Services provide;
- protecting its Authorized Users' credentials and the devices from which the Services are used;
- keeping its own copies of important records by using the export tools, where its business or the law requires it to;
- having the right to enter the personal information it records about its customers, suppliers, staff and karigars, and telling those people what it does with their information where the law requires.
DataJewellers helps a business keep its records. It does not verify that those records are correct, complete or compliant, and it does not replace the Customer's own review or the advice of a qualified accountant, tax adviser or lawyer.
7. Subscriptions, Fees and Payments
Access to the Services requires a Subscription; the Services are not offered on a free or trial basis. The plan, price, billing period, seats, branches and other limits that apply to the Customer are those specified in the applicable order, subscription plan, invoice or pricing page (the Commercial Terms).
Fees are payable as stated in the Commercial Terms. Unless the Commercial Terms say otherwise, fees exclude taxes; value-added tax and any other applicable tax will be added and shown on the invoice where it applies. We issue an invoice for every payment.
Subscriptions renew for successive periods as stated in the Commercial Terms unless the Customer cancels before the renewal date. We will give reasonable written notice before any change to the price that applies from a renewal. The Customer may move between plans; a change takes effect and is charged as described in the Commercial Terms.
If a payment is not received when due, we may, after notice, place the Workspace in a read-only state in which existing records remain visible and exportable but new records cannot be created, and if the payment remains outstanding, suspend or terminate the Subscription under section 17. Nothing is deleted because of late payment alone.
Refunds and cancellation are governed by the Commercial Terms and our Refund & Cancellation Policy. Nothing in these Terms reduces any right the Customer has under applicable consumer-protection or electronic-commerce law.
8. Demonstrations
Access to the Services requires a Subscription as described in the applicable order, subscription plan, invoice or pricing page (section 7). We do not offer a free trial of the Services.
So that a prospective customer can see the Services working before subscribing, we operate a demonstration Workspace at the demonstration address published on our website. It contains fictional sample data only, is shared among everyone who uses it, and is reset from time to time, at which point anything entered into it is discarded. The demonstration is not a Workspace of the Customer's own: it must not be used for real business or personal records, and nothing entered into it becomes Customer Data or is carried into a Subscription. The Demo Environment Terms apply to the demonstration and form part of these Terms.
9. Customer Data
The Customer owns its Customer Data. Registering for or using the Services transfers no ownership of any business record to the Company, and nothing in these Terms gives the Company any right in Customer Data beyond what this section states.
The Customer grants the Company the limited rights needed to host, store, process, transmit, back up, secure, display and otherwise handle Customer Data solely in order to provide and operate the Services, to support the Customer, and to meet the Company's legal obligations. The Company will not use Customer Data for any other purpose, will not sell it, and will not disclose it except as described in these Terms, the Privacy Policy and the Business Data Processing Terms, or as required by law.
Our staff do not have standing access to a Customer's Workspace. Where support requires looking inside it, that access is limited, time-bound, recorded in the Workspace's own audit history, and visible to the Customer.
10. Privacy and Data Protection
Personal information within the Services is handled as described in the Privacy Policy, which forms part of these Terms. The Privacy Policy explains what information the Company collects about the Customer and its Authorized Users, how personal information entered by the Customer about its own customers, suppliers and staff is held on the Customer's behalf, and the choices available.
Where applicable, the Company handles personal information in accordance with applicable law, including the Privacy Act, 2075 (2018) of Nepal. The Customer is responsible for its own compliance with privacy law in respect of the personal information it collects and enters.
11. Security
The Company maintains reasonable technical and organisational measures designed to protect the Services and Customer Data against unauthorised access, loss, misuse and alteration, including access controls, separation of each Customer's records from every other Customer's, encrypted connections, audit records of significant actions, and monitoring for abuse. Details of how the Company works with security researchers are published on the Security & Responsible Disclosure page.
No system can be made perfectly secure, and the Company does not guarantee that unauthorised access will never occur. If the Company confirms a security incident affecting the Customer's data, it will inform the Customer without undue delay and tell it what is known and what it may need to do.
The Customer is responsible for security at its end: the strength and confidentiality of its credentials, the devices and networks from which it uses the Services, and the access it grants to its Authorized Users.
12. Intellectual Property
The DataJewellers software, platform, design, user interface, documentation, branding, logos, code and underlying technology, and all improvements to them, are and remain the property of the Company or its licensors. Except for the limited right of use granted in section 5, no licence or right in them is granted, by implication or otherwise.
Customer Data remains the Customer's, as stated in section 9. The Customer's business name, logo and other identifying material remain the Customer's; the Company uses them only to render the Customer's own documents and screens.
If the Customer gives feedback or suggestions about the Services, the Company may use them without obligation, but nothing in that feedback transfers any Customer Data or any right in the Customer's business.
13. Acceptable Use
The Customer and its Authorized Users must not:
- use the Services for any unlawful purpose or in breach of any law that applies to them;
- attempt to reach, read or change any other Customer's Workspace or data, or any part of the Services they have not been given access to;
- circumvent, disable or interfere with any access control, permission, entitlement or security feature;
- interfere with the operation of the Services, including by overloading them, probing or scanning them without written permission, or introducing malicious code;
- use automated means to extract data from the Services beyond the export tools provided, or misuse any programmatic interface;
- reverse engineer, decompile or attempt to derive the source of the software, except where the law expressly permits this;
- resell, sublicense or provide the Services to third parties, except as expressly agreed in writing;
- impersonate another person or business, or misrepresent an affiliation;
- use the Services to infringe another person's rights or to create records intended to deceive a customer, a supplier or a public authority.
The Acceptable Use Policy sets this out in more detail and forms part of these Terms.
14. Third-Party Services
The Company uses trusted third-party service providers for hosting, communications, infrastructure and other services necessary to operate the Services, and may rely on external data sources for information such as published metal rates. The categories of provider that handle personal information are described in the Privacy Policy.
The Services may also let the Customer connect to external systems — for example a tax authority's electronic billing system, or a payment method the Customer uses — using the Customer's own credentials or account. The Customer's use of any such external service is subject to that provider's own terms and privacy practices, and the Company is not responsible for external services outside its reasonable control or for the Customer's obligations to them.
15. Service Availability, Maintenance and Changes
The Company aims to keep the Services available at all times, but does not promise uninterrupted or error-free operation. The Services may be unavailable during planned maintenance, which the Company will try to schedule outside busy trading hours and announce in advance where practical, or during emergency maintenance needed to protect the Services or their data. Availability also depends on the Customer's own internet connectivity and devices, for which the Company is not responsible.
The Company may change or improve the Services over time. Where a change materially reduces the functionality the Customer relies on, the Company will give reasonable notice where practical.
The sales screen is designed to keep working during a connection outage and to synchronise when the connection returns; the Customer remains responsible for reviewing synchronised records.
16. Support
Support is provided through the channels listed in section 25 during the Company's working hours. The Company will make reasonable efforts to respond to and resolve support requests but, unless a separate support plan has been agreed in writing, does not commit to specific response or resolution times. Training and onboarding may be arranged separately; see the Training page.
17. Suspension and Termination
By the Customer. The Customer may cancel its Subscription at any time as described in the Commercial Terms. Cancellation takes effect at the end of the current billing period unless the Commercial Terms say otherwise.
By the Company. The Company may suspend or terminate the Customer's access, in whole or in part, if the Customer or an Authorized User seriously breaches these Terms; uses the Services unlawfully or in a way that harms others; presents a security threat to the Services, other Customers or their data; fails to pay fees when due; or where suspension is required by law or by a competent authority. Where reasonably practical, the Company will give notice and an opportunity to resolve the issue before suspending or terminating. The Company may suspend access immediately, without prior notice, where necessary to protect the Services, other Customers, their data, or to comply with law.
Effect. On termination the Customer's right to use the Services ends, and section 18 governs what happens to Customer Data. Sections that by their nature should survive — including sections 9, 12, 18, 19, 20, 21, 23 and 24 — survive termination.
18. Data Export, Retention and Deletion
The Customer may export its records at any time during its Subscription, using the export tools in the Services, and is encouraged to keep its own copies of records it is legally required to retain.
When a Subscription ends, the Workspace first becomes read-only: existing records remain visible and exportable, but new records cannot be created. The Customer may export its data during this period. A Workspace that is not renewed is then archived and scheduled for deletion; deletion is a deliberate step taken not less than 90 days after archival, so that a Customer who returns or who has forgotten to export is not caught out. The Customer may ask for earlier deletion in writing.
After deletion, Customer Data is removed from the live Services. Copies may persist for a limited further period in backups, and the Company may retain records that it is legally obliged to keep, that are needed to establish or defend a legal claim, or that form part of the Company's own records of the Services it provided (such as invoices it issued and audit records of its own actions). The Data Retention & Deletion Policy sets out the details and forms part of these Terms.
Records that the Customer's own law requires it to keep — such as tax records — remain the Customer's responsibility to retain, by export or otherwise, before deletion.
19. Disclaimers
DataJewellers is software. The Company is not an accountant, auditor, tax adviser, lawyer or public authority, and the Services do not provide accounting, tax, legal or financial advice. Features that calculate tax, produce invoices or prepare returns are tools that apply the settings the Customer has chosen; the Customer is responsible for confirming that those settings and the resulting records are correct for its business, and for its own filings, payments and regulatory obligations.
Except as expressly stated in these Terms, and to the extent permitted by applicable law, the Services are provided without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. The Company does not warrant that the Services will meet every requirement of the Customer's business or that they will be free of interruption or error.
Nothing in this section limits any warranty or right that applicable law does not permit to be excluded.
20. Limitation of Liability
To the extent permitted by applicable law:
- neither party is liable to the other for indirect, incidental, special or consequential loss, or for loss of profits, revenue, business, goodwill or data, arising out of or in connection with the Services, however caused;
- the Company is not liable for loss arising from the failure of third-party services outside its reasonable control, from the Customer's own internet connectivity or devices, from records the Customer entered or failed to correct, or from the Customer's or an Authorized User's misuse of the Services;
- the aggregate liability of the Company arising out of or relating to the Services will not exceed the fees paid or payable by the Customer for the Services during the applicable period specified in the order or subscription.
These limits do not apply to liability that cannot be limited by applicable law, including liability for fraud, and do not reduce any remedy available to the Customer under the Consumer Protection Act, 2075 (2018) or other law that applies notwithstanding these Terms.
21. Indemnification
The Customer will defend and indemnify the Company against third-party claims, and the reasonable costs of dealing with them, to the extent they arise from the Customer's or its Authorized Users' unlawful use of the Services, from Customer Data that the Customer had no right to enter or that infringes a third party's rights, or from the Customer's breach of section 13. The Company will notify the Customer promptly of any such claim and allow the Customer to control its defence, and will not settle a claim in a way that imposes obligations on the Customer without its consent.
22. Changes to These Terms
The Company may update these Terms. Each version carries a version number and an effective date, and earlier versions remain available to read at their own address so that anyone who accepted a previous version can see exactly what they accepted.
Where a change is material, the Company will give reasonable notice and will ask Authorized Users to review and accept the new version before continuing to use the Services. A Customer who does not accept a material change may cancel under section 17, and section 18 then applies to its data.
23. Governing Law and Dispute Resolution
These Terms are governed by the laws of Nepal. The parties will first try to resolve any dispute in good faith through discussion between people with authority to settle it. A dispute that is not resolved within thirty days of one party notifying the other may be brought before the competent courts of Nepal.
Nothing in this section prevents either party from seeking urgent relief from a court, and nothing in it limits the Customer's right to bring a complaint to any statutory body or forum that applicable consumer-protection or electronic-commerce law provides.
24. General Provisions
- Entire agreement. These Terms, the documents they incorporate, and the Commercial Terms are the whole agreement between the parties about the Services and replace any earlier discussion or representation.
- Severability. If any provision is found unenforceable, it will be applied to the maximum extent permitted and the rest of the Terms remain in effect.
- Waiver. A failure or delay in exercising a right is not a waiver of it.
- Assignment. The Customer may not assign these Terms without the Company's written consent. The Company may assign them to a successor to its business on notice to the Customer.
- Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control, other than the obligation to pay fees due.
- Notices. Notices to the Company go to the addresses in section 25. Notices to the Customer go to the email address of the Customer's account owner and are effective when sent.
- Relationship. The parties are independent contractors. These Terms create no partnership, joint venture, agency or employment relationship.
- Survival. Section 17 lists the provisions that survive termination.
